Terms and Conditions
These Terms and Conditions ("Terms") govern your access to and use of CoSecAI ("CoSecAI", "we", "us"), including our website, company secretarial software, CS practice tools, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
CoSecAI provides cloud-based software for practising Company Secretaries and compliance teams, including document generation, registers, calendars, reminders, integrations, and optional AI-assisted features. Features may change over time. We do not guarantee uninterrupted or error-free operation.
2. Eligibility and accounts
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. You must have authority to submit any company or client data you load into the Service.
3. Acceptable use
You agree not to:
- Use the Service unlawfully, fraudulently, or in a way that infringes others' rights.
- Attempt to gain unauthorised access to systems, data, or other users' accounts.
- Reverse engineer, scrape, or overload the Service except as permitted by law.
- Upload malware or content that is illegal, defamatory, or violates confidentiality obligations.
4. Your data and confidentiality
You retain rights to data you submit. You grant us a licence to host, process, and display such data solely to provide and improve the Service, as further described in our Privacy Policy. You are responsible for the accuracy of client and company information and for complying with applicable laws (including data protection obligations to your clients).
5. Intellectual property
The Service, including software, branding, templates, and documentation, is owned by CoSecAI or its licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you. Output documents you generate for your clients are yours (or your clients') subject to your compliance with law and any third-party content embedded in templates.
6. AI-assisted features
Where the Service offers AI-assisted drafting or chat, outputs are generated automatically and may be incomplete or inaccurate. You must review all AI-generated content before reliance or filing. CoSecAI does not provide legal advice; professional judgment remains solely yours. Use of third-party AI APIs may be subject to those providers' terms.
7. Third-party services
The Service may integrate with or link to third-party services (e.g. hosting, email, AI providers). Your use of those services may be governed by separate terms. We are not responsible for third-party services.
8. Fees
If you subscribe to paid plans, fees, billing cycles, and taxes will be as presented at purchase or in your order. We may change pricing with reasonable notice where required by law. Failure to pay may result in suspension or termination.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COSECAI AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) INR 5,000, EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.
11. Indemnity
You will defend and indemnify CoSecAI and its affiliates against claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your data, or your violation of these Terms or applicable law.
12. Suspension and termination
We may suspend or terminate access for breach of these Terms, risk to security, or legal requirement. You may stop using the Service at any time. Provisions that by their nature should survive will survive termination.
13. Governing law
These Terms are governed by the laws of India. Subject to mandatory provisions, courts at New Delhi, India shall have exclusive jurisdiction, unless another forum is required by law.
14. Changes
We may modify these Terms by posting an updated version on this page. Material changes may be communicated by email or in-app notice where appropriate. Continued use after the effective date constitutes acceptance of the revised Terms.
